🛡️ Vitalist Healing Traditions Society – Private Membership Agreement
Purpose of this Agreement
This Private Membership Agreement (“Agreement”) is entered into by and between the undersigned Member and the Vitalist Healing Traditions Society, a Private Unincorporated Nonprofit Association (UNA) operating under Divine and Natural Law and recognized by the State of California.
By executing this Agreement, the Member voluntarily and knowingly joins a private association of natural men and women acting in honor, conscience, and good faith, for the purpose of conducting private educational, spiritual, and wellness affairs under the full protection of Divine & Natural Law, the Universal Declaration of Human Rights (UDHR, Articles 18–20), the Constitution of the United States of America (Amendments I, IV, V, IX, XIV), and equivalent provisions of the several State Constitutions.
This Agreement is a private covenant between the Society and its Members and constitutes an acknowledgment that all activities herein occur within the private domain and are outside the jurisdiction of public governmental entities, agencies, or corporate authorities, except as otherwise recognized by Divine & Natural Law.
Article I – Declaration of Private Association

The Vitalist Healing Traditions Society exists as a private fellowship and educational body under Divine & Natural Law.

The Society declares its inherent right to freedom of association, conscience, assembly, belief, and expression as acknowledged and guaranteed by the UDHR and the Constitutions of the United States and the several States.

The Society provides a private platform through which its founders, trustees, practitioners, and members may conduct all manner of private business within the protective boundaries of Divine & Natural Law.

All business, counsel, instruction, and communications are conducted member-to-member, in private capacity, and are not open to public oversight or regulation.

The Society affirms that its private nature remains intact irrespective of modern statutory systems, and it retains all protections previously and presently guaranteed by natural and constitutional authority.

🌟 Inclusivity and Universal Welcome: The Society welcomes all natural men and women who align themselves with the Society’s principles of honor, conscience, and spiritual truth, regardless of race, color, gender, nationality, or background. Membership is open to all who seek knowledge, healing, and fellowship within the private domain, provided such individuals are not subject to legal restrictions that would prevent them from participating in good faith and are not representatives of enforcement, regulatory, or investigative agencies.
Article II – Nature of Offerings

The Society offers to its Members spiritual counsel, holistic health education, natural healing arts training, and wellness guidance, consistent with the ancient and modern Vitalist Traditions.

All teachings, consultations, and materials are spiritual, educational, and research-oriented; none shall be construed as public medical advice, diagnosis, or licensed treatment.

Each Member retains the right to select and receive counsel from other Members whom they deem wise and capable, in any matter including but not limited to physical, mental, or spiritual well-being, legal understanding, or private education.

All offerings occur within the private domain and are exchanged as spiritual covenants, not as commercial transactions.

The Society explicitly rejects any interpretation that would subject its private educational or spiritual activities to public jurisdiction or statutory authority.

Article III – Member Affirmations And Capacity Transformation

By signing this Agreement, the Member affirms that they are a living man or woman acting in private capacity, not an agent, officer, or representative of any local, state, federal, or international agency or entity.

The Member voluntarily changes capacity from that of a public person to that of a private member, joining this Association for purposes of spiritual growth, education, wellness, and fellowship under Divine & Natural Law.

The Member understands that participation is a matter of private conscience, not a function of public license, and that all interactions are protected under freedom of association.

The Member agrees to conduct themselves with honor, integrity, and respect toward all other Members and to maintain the confidentiality of the Society’s private affairs.

🤝 Covenant of Non-Harm: The Member solemnly affirms and agrees not to intentionally cause physical, emotional, spiritual, or financial harm to any other Member or to the Society itself. This covenant of non-harm is a sacred obligation rooted in the principles of honor, conscience, and good faith that govern all relationships within the private domain. Members commit to treating one another with dignity, respect, and compassion, resolving conflicts peacefully, and conducting themselves in a manner that upholds the well-being and sacred mission of the Society.

Age of Consent: The Member affirms that they are at least 18 years of age and possess the legal capacity to enter into this binding Agreement. Execution on behalf of a minor is governed by Article III-A.

Accurate Information: The Member represents that all information provided to the Society is accurate and complete, and agrees to update the Society promptly should any such information change during the term of this Agreement.

Voluntary Agreement: The Member acknowledges entering into this Agreement freely and without coercion, understanding that this is a binding covenant under Divine & Natural Law.
Article III-A – Minors, Guardianship & Household Coverage

Guardian Execution for Minors: A parent or legal guardian who is a Member in good standing (a “Guardian-Member”) may execute this Agreement on behalf of a minor child (a natural person under 18 years of age). The minor is a covered beneficiary of the Guardian-Member’s covenant, never a signing party; all rights, duties, and communications under this Agreement run through the Guardian-Member.

Named Coverage Only: No minor is covered under this Agreement unless identified on the execution record by full name and date of birth. Coverage of an unnamed minor is void from the outset.

Warranty of Authority – Both-Parents Rule: The Guardian-Member warrants that they hold lawful parental responsibility for each named minor. Where parental responsibility is shared, the consent of both parents or guardians is required: the second parent or guardian must countersign or transmit written consent to the Society before the minor’s coverage becomes active. Where the Guardian-Member is the sole parent or sole legal guardian, their written declaration to that effect suffices. Any other basis of authority (court order, kinship care, foster placement) must be declared and, on request, evidenced.

Explicit Sensitive-Information Consent: By separate, explicit indication on the execution record, the Guardian-Member consents to the Society receiving and privately stewarding the named minor’s health and wellness information for the Society’s private educational and member-to-member purposes. This consent is revocable at any time by written notice; revocation ends further stewardship but does not retroactively invalidate what was lawfully done while consent stood.

Scope of a Minor’s Participation: A covered minor participates only with the Guardian-Member present or expressly consenting per engagement. All offerings remain spiritual, educational, and research-oriented as set out in Article II; nothing herein constitutes public medical treatment of a child. The Society may decline, condition, or pause any service to a minor at its sole discretion.

Change of Circumstances: The Guardian-Member shall promptly notify the Society of any change in custody or parental responsibility, any court order affecting the minor, or any bona fide dispute between guardians. The Society may suspend a minor’s coverage while such a dispute is unresolved; suspension is a protective measure, not a penalty.

Emergencies & Vital Interests: Nothing in this Agreement prevents any person from rendering or summoning emergency aid to protect the vital interests of a minor.

Age of Majority: Coverage under this Article ends when the minor reaches 18 years of age. Continued membership thereafter requires the young adult’s own executed Agreement in their own capacity.

Adult Household Members: This Article covers minors and legal dependents only. Every adult (18+) member of a family or household must execute their own Agreement in their own private capacity; no adult is bound by another’s signature.
Article IV – Confidentiality & Private Dispute Resolution
Section A – Confidentiality Provisions

All communications, teachings, writings, consultations, and interactions within the Society are private and confidential.

Non-Disclosure, Non-Competition, and Non-Solicitation: By joining the Society and accessing its platforms, the Member agrees to be bound by obligations of non-disclosure, non-competition, and non-solicitation with respect to the Society’s private affairs, teachings, methodologies, and member information.

Private Nature of Activities: The Member acknowledges that all activities within the Society are considered private contractual matters under Divine & Natural Law. The Member agrees not to disclose these activities to investigative or enforcement agencies unless there is an immediate risk of serious harm to self or others, and only after consultation with the Society’s Private Tribunal.

Ownership of Sensitive Information: The Society shall have stewardship over sensitive information provided to Members or generated through their participation in the Society’s activities and research. Members agree not to disclose this information to any third party under any circumstances without prior written consent from the Society’s Private Tribunal.

Non-Disclosure of Agreement: Without prior written approval from the Society’s Private Tribunal, the Member will not disclose the existence of this Agreement, its terms, or any related information to any third party, including the media or public forums.

Definition of “Representative”: For purposes of this Agreement, the term “Representative” shall include any present and future members, shareholders, managers, officers, directors, contractors, employees, attorneys, accountants, financial advisors, agents, and other individuals acting on a Party’s behalf.

Enforcement of Confidentiality: The Member shall enforce these confidentiality provisions with their Representatives and shall take reasonable action to prevent any unauthorized disclosure of confidential information relating to the Society.

No Public Announcements: No public announcements or disclosures regarding this Agreement, the Society, or its activities shall be made without prior written consent from the Society’s Private Tribunal.

Confidentiality Covenant: All business, teachings, and interactions conducted within the Society must be kept confidential to the greatest extent permitted by Divine & Natural Law. Violations of this confidentiality covenant may result in termination of membership, substantial penalties, and financial liability as determined by the Private Tribunal.
Section B – Dispute Resolution Process

Any disagreement or controversy arising from this Agreement or membership in the Society shall be resolved exclusively through the following process:

Step 1 – Internal Mediation: All disputes must first be submitted to the Society’s Private Tribunal for mediation. The Parties agree to participate in good faith mediation for a period of thirty (30) days from the initial mediation request.

Step 2 – Binding Arbitration: If the dispute is not resolved through mediation within thirty (30) days, the dispute shall be submitted to mandatory and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect.

Arbitration Procedures:
- The arbitration shall be conducted in the State of California, in a venue mutually agreed upon by the parties or, if no agreement can be reached, as determined by the AAA.
- The arbitration shall be conducted by a single arbitrator mutually selected by the parties or, if they cannot agree within fifteen (15) days, appointed by the AAA.
- The arbitration award shall be final and binding upon all parties.
- Judgment upon the arbitration award may be entered in any court of competent jurisdiction.

Waiver of Public Courts: The Member expressly waives all rights to bring civil or administrative action against the Society, its trustees, officers, or members in any public court or forum, except to enforce an arbitration award as provided herein.

Exclusive Remedy: This two-step dispute resolution mechanism constitutes the sole and exclusive means for resolving disputes arising from this Agreement or membership in the Society.
Article V – Membership Contributions and Gifts

The standard initiation fee is waived; membership is granted at no cost.
-
Members may support the Society through voluntary gifts, tithes, offerings, or contributions made in gratitude to further its educational and humanitarian mission.
-
All contributions are recognized as private gifts under Divine & Natural Law.
-
Energy exchanges for services or materials are member-to-member and are not commercial sales.
-
The Society holds that such exchanges constitute sacred offerings of value, made in trust and faith within the private domain.
-
Non-Refundable Contributions: All contributions made to the Society through membership or participation in its activities will be considered voluntary donations and are non-refundable unless the Society determines, at its sole discretion, that a valid and exceptional reason for a refund exists.
Article VI – Term & Termination

This Agreement remains in effect from the date of the Member’s joining until revoked by either party.

The Society reserves the right to revoke or suspend membership for conduct contrary to the focus, principles, and betterment of the Society, including dishonor, abuse, harassment, deceit, violation of confidentiality, or behavior that threatens the well-being of other Members.

Termination shall be effected by written notice or by decision of the Private Tribunal after fair consideration.

Upon termination, all privileges within the Society’s private domain immediately cease, but the obligations of confidentiality, non-disclosure, and non-competition shall continue in perpetuity.

Member-Initiated Termination: The Member may terminate their membership at any time by providing written notice to the Society, understanding that confidentiality obligations continue beyond termination.
Article VII – Consent & Alignment

The Member acknowledges that they enter this Agreement freely, knowingly, and without coercion.

The Member declares alignment with the purposes of the Society: to explore and practice holistic healing, natural education, and spiritual development under Divine & Natural Law.
-
The Member understands that all participation is voluntary and private, and that they may withdraw membership at any time by written notice, subject to continuing confidentiality obligations.
-
Understanding of Agreement: The Member acknowledges that they have read and understand this Agreement in its entirety and have had adequate opportunity to ask questions and seek clarification on any provisions herein.
Article VIII – Jurisdiction & Legal Standing

All relationships, transactions, and communications arising from this Agreement occur solely within the private domain governed by Divine & Natural Law.

The Society and its Members rely upon and invoke the protections guaranteed by:
- The Universal Declaration of Human Rights (Articles 18–20);
- The Constitution of the United States of America;
- The Constitutions of the several States; and
- Any other natural or historical instruments reaffirming inherent human rights.

The Member agrees that no civil, statutory, or public administrative jurisdiction shall extend to matters internal to the Society, except as mandated by Divine & Natural Law.
-
All interactions and covenants are private contractual matters, immune from public interference except as required by higher natural law principles.
Article VIII-A – Authority and Sanctity of the Private Covenant

🛡️ Inviolability of the Society’s Authority: The Vitalist Healing Traditions Society affirms that its authority as a Private Unincorporated Nonprofit Association operating under Divine & Natural Law, and its sacred right to conduct private spiritual, educational, and wellness activities, are inviolable and rooted in the inherent freedoms guaranteed by Divine & Natural Law, the UDHR, and the Constitution. This authority cannot be unilaterally revoked, diminished, or invalidated by any external entity, agency, or system operating outside the private domain.

🤝 Sacred Nature of This Covenant: This Agreement constitutes a binding private covenant between the Member and the Society, entered into freely under Divine & Natural Law. Both Parties affirm that no individual, entity, government body, corporation, or administrative agency has the authority to interfere with, invalidate, or nullify this Agreement or the sacred relationship between Members and the Society within the private domain.

✨ Recognition of Private Sovereignty: The Society and its Members operate within a sphere of private sovereignty protected by ancient and modern principles of natural rights, freedom of conscience, freedom of association, and freedom of religious and spiritual practice. This covenant is honored and protected within the private domain, and all Parties commit to upholding its sanctity with integrity, good faith, and honorable conduct.

⚖️ Supremacy of Natural Law: In any conflict between the provisions of this Agreement and external statutory or regulatory systems, the Parties recognize that Divine & Natural Law, and the fundamental human rights enshrined in the UDHR and Constitution, take precedence within the private domain and govern the relationship between the Society and its Members.
Article IX – Limitation of Liability

Limited Liability of the Society: The Society will not be liable for any costs or damages the Member may incur in connection with this Agreement, membership, or participation in Society activities, except in cases of willful misconduct or gross negligence by the Society as determined by the Private Tribunal.

No Liability for Third-Party Actions: The Society is not liable for scams, malicious activities, fraud, or the misuse of personal information by unrelated third parties who may access or misuse the Society’s platforms or member information.

Member Responsibility: The Member acknowledges that services provided by other Members are not intended to replace licensed healthcare, legal, tax, or other professional advice. The Member is responsible for researching and evaluating the advice, treatments, and services offered by other Members and assumes all associated risks.

Hold Harmless: The Member agrees not to hold the Society, its Trustees, officers, or other Members liable for any unintentional harm arising from services provided within the Society, except in cases of clear malicious intent as determined by the Society’s Private Tribunal.

No Professional Liability Insurance: The Member acknowledges that Members of the Society may not carry professional liability insurance for services provided within the private domain.
Article X – Indemnification
The Member agrees to indemnify, defend, and hold harmless the Society, its trustees, officers, directors, affiliates, agents, successors, assigns, and third-party information providers from any and all losses, liabilities, claims, suits, costs, expenses, or damages (including reasonable legal fees and court costs) arising from:
- Any breach of the Member’s representations, warranties, or obligations under this Agreement;
- The Member’s participation in Society meetings, events, consultations, or other interactions;
- The Member’s violation of the confidentiality provisions of this Agreement;
- Any claim brought by the Member in violation of the dispute resolution procedures outlined herein; or
- The Member’s conduct that causes harm to other Members or the Society itself.
This indemnification obligation shall survive the termination of this Agreement and shall continue in perpetuity with respect to actions taken during the period of membership.
Article XI – Force Majeure
Neither the Society nor the Member shall be liable for delays or failures in performance of their obligations under this Agreement caused by events beyond their reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, fires, storms, etc.)
- Pandemics, epidemics, or public health emergencies
- Government regulations, orders, or restrictions
- Transportation disruptions
- Strikes or labor disputes
- Terrorist attacks, sabotage, or acts of violence
- Riots, insurrections, or civil unrest
- National emergencies, blockades, or acts of war
- Internet or telecommunications failures
- Any other events constituting Force Majeure under Divine & Natural Law
The affected Party shall notify the other Party of the Force Majeure Event as promptly as reasonably possible. Performance obligations shall be suspended during the period of the Force Majeure Event, and the time for performance shall be extended for a period equal to the duration of such event.
Article XII – Protection Against Fraud and Malicious Conduct

The Society maintains the right to protect its operations, platforms, and Members from fraudulent or malicious activities.

Penalties for Fraud: Individuals or entities attempting to defraud the Society, harm its operations, misuse its platforms, or cause harm to its Members may be subject to:
- Immediate termination of membership
- Substantial fines and penalties as determined by the Private Tribunal
- Legal action for damages and restitution
- Referral to appropriate authorities if criminal conduct is evident

Protection of Society Integrity: The Society reserves the right to take all necessary measures to preserve the integrity, safety, and sacred mission of the private association.
Article XIII – Waiver of Breach

No waiver of any breach of this Agreement shall constitute a waiver of any other breach, whether of a similar or dissimilar nature.

Any rights or remedies under this Agreement can only be waived in writing by the Party granting such waiver.
-
The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of that provision or the right to enforce it in the future.
-
All waivers must be explicit, written, and signed by an authorized representative of the granting Party to be valid.
Article XIV – Amendments and Modifications

The Society reserves the right to amend or modify this Agreement at its discretion to reflect changes in the Society’s operations, legal environment, or spiritual mission.

Notice of Amendments: Members will be notified of any material changes to this Agreement through the Society’s primary communication channels, including the Society’s website, email, or other designated platforms.
-
Effective Date: Amendments shall become effective upon posting to the Society’s platforms unless otherwise specified. Continued membership after notification of changes constitutes acceptance of such amendments.
-
Member Responsibility: Members are responsible for reviewing the terms of this Agreement regularly for any changes or updates.
-
Right to Withdraw: If a Member does not agree with any amendment, they may terminate their membership in accordance with Article VI, understanding that confidentiality obligations continue beyond termination.
Article XV – Severability
If any provision or clause of this Agreement is deemed invalid, unlawful, or unenforceable by any body operating under public law, such finding shall not affect the remaining provisions, which shall continue in full force and effect within the jurisdiction of Divine & Natural Law and the Society’s private domain.

Modification of Invalid Provisions: The Society’s Private Tribunal reserves the right to modify any affected provisions to the minimum extent necessary to make them valid and enforceable while preserving the original intent of the Agreement.

Good Faith Cooperation: The Parties agree to work in good faith to amend any invalid provision to achieve a purpose as similar as possible to the original intent.
Article XVI – Agreement Review and Construction

Mutual Review: All Parties acknowledge that they have carefully reviewed this Agreement, have had the opportunity to seek independent counsel, and enter into this Agreement with full understanding of its terms.

No Presumption Against Drafter: Any ambiguities in this Agreement shall not be automatically construed against the drafting Party. This Agreement shall be interpreted fairly and in accordance with Divine & Natural Law principles.

Entire Agreement: This Agreement, along with the Society’s governing documents and any additional terms provided upon joining, constitutes the entire agreement between the Parties regarding membership in the Society and supersedes all prior discussions, negotiations, or agreements.
Article XVII – Non-Commercial Activity Statement

All activities and relationships conducted under this Agreement are private, non-commercial, and protected by the inherent right of freedom of private association.

The Society and its Members operate under Divine & Natural Law, outside public commercial code systems.
-
No exchange, donation, or offering within the Society constitutes “commerce” in the public sense or creates any regulatory obligation under public statutes.
-
The Society retains the right to steward its assets and affairs in private trust consistent with Divine & Natural Law principles.
Article XVIII – Notice & Voluntary Participation

The Member confirms that they have read, understood, and voluntarily entered into this Agreement of their own free will.

The Member acknowledges that they have had adequate opportunity to ask questions and seek understanding prior to signing.
-
This Agreement is acknowledged as a private covenant under Divine & Natural Law, not a public contract subject to statutory regulation.
-
The Member affirms that they do not represent any entity of enforcement, regulation, investigation, or entrapment, and that providing false information regarding this representation may result in immediate termination and substantial penalties.
Article XIX – Member Declaration and Affirmation
By signing below, the Member declares and affirms that:

They have carefully read and fully understood each Article of this Agreement.

They knowingly and voluntarily join the Vitalist Healing Traditions Society, a Private Unincorporated Nonprofit Association (UNA) operating under Divine & Natural Law.

They agree to abide by the principles, procedures, protections, confidentiality obligations, and dispute resolution mechanisms outlined herein.

They acknowledge that all rights, privileges, and protections under Divine & Natural Law, the UDHR, and the Constitution of the United States of America remain intact and fully reserved.
-
They understand that participation in this Society is a private spiritual covenant and not a commercial arrangement.
-
They agree that this Agreement is binding in honor, good faith, and conscience within the private domain.
-
They accept personal responsibility for their decisions regarding health, wellness, education, and all other personal choices made in connection with their membership.
-
They understand that the Society does not guarantee any particular outcome or success from participation in its programs, teachings, or activities.
-
They agree to honor the confidentiality obligations of this Agreement in perpetuity, even beyond termination of membership.
-
They acknowledge that they are entering into this Agreement of their own free will, without coercion, and with full understanding of its binding nature.
-
They commit to the sacred Covenant of Non-Harm and pledge to treat all Members and the Society itself with honor, respect, and compassion.
This Agreement is executed under Divine & Natural Law and the protections of the Universal Declaration of Human Rights and the Constitution of the United States of America.
